Membership Agreement

This Membership Agreement ("Agreement") is entered into between Sadler Robotics, Inc. ("Sadler," "we," "us," or "our") and you ("Member," "you," or "your") upon your acceptance of membership.

1. Membership Overview

By becoming a Member, you are purchasing fractional ownership of livestock and agricultural products produced on farms operated within the Sadler network. This ownership structure operates under the federal custom exemption, which allows animal owners to have their livestock processed for personal consumption.

2. Ownership Structure

As a Member, you will receive:

• Documented fractional ownership of specific livestock animals
• Bill of sale for each animal prior to processing
• Weekly deliveries of products from your owned livestock and farm production
• Access to farm visits and processing facility tours
• Voting rights on community fund allocations

3. Membership Fees

The total annual cost is $10,500 per year ($875/month), billed annually to your payment method. The base farm membership ($500/month, $6,000/year) covers:

• Fractional ownership costs
• Animal husbandry and care
• Processing and handling
• Weekly delivery to Austin, TX

All products are priced at cost (typically 80-90% below retail). The Nutrition Specialist add-on ($4,500 per year, $375/month) is included with founding memberships and is eligible for HSA/FSA reimbursement.

4. Reservation and Deposit

A $100 refundable deposit is required to reserve your membership. This deposit:

• Secures your spot as a Founding Member
• Is fully refundable at any time before your first delivery
• Will be applied toward your annual membership fee upon first delivery

Your full annual membership fee ($10,500) will be charged after your first order is delivered.

5. First Delivery

First deliveries for Founding Members are scheduled to begin October 2026. By reserving your membership, you acknowledge:

• Deliveries will begin in October 2026
• Your deposit is fully refundable until your first delivery
• You may cancel your reservation at any time before first delivery for a full refund

6. Cancellation Policy

You may cancel your membership at any time by providing 30 days written notice. Upon cancellation:

• Your ownership rights will be transferred back to the farm cooperative
• Any prepaid amounts will be prorated and refunded
• Final delivery will be scheduled within 14 days of cancellation effective date

7. Delivery

Products will be delivered weekly to your registered address in Austin, TX. You are responsible for:

• Ensuring someone is available to receive temperature-sensitive deliveries
• Notifying us of any address changes at least 7 days before scheduled delivery
• Proper storage of products upon receipt

8. Product Quality

We stand behind the quality of our products. If you receive products that do not meet our quality standards, please contact us within 48 hours of delivery for a replacement or credit.

9. Limitation of Liability

Sadler's liability is limited to the amount of membership fees paid. We are not liable for indirect, incidental, or consequential damages arising from your membership or use of products.

10. Governing Law

This Agreement is governed by the laws of the State of Texas. Any disputes shall be resolved through binding arbitration in Austin, Texas.
